Terms of Service

The rules that govern access to Toaray and the responsibilities that come with operating services on the platform.

Effective October 6, 2026Version 1.0

These Terms form a binding agreement between you and Taoneting Limited, trading as Toaray (“Toaray,” “we,” “us,” or “our”). By creating an account, placing an order, or using the Services, you confirm that you have read and accepted them.

1. Agreement and eligibility

You must be at least 18 years old and legally able to enter a contract. If you use Toaray for an organization, you confirm that you have authority to bind that organization. “Services” means Toaray's websites, dashboard, APIs, CLI, application hosting, templates, databases, domains, DNS, tunnels, edge and network features, and related support.

2. Accounts and security

You must provide accurate account and billing information and keep it current. You are responsible for activity performed through your account, API keys, service credentials, and team memberships.

  • Use a strong, unique password and enable available multi-factor authentication.
  • Do not share credentials or allow access outside the permissions you grant.
  • Notify [email protected] immediately if you suspect unauthorized access.
  • You remain responsible for actions taken before compromised access is reported and disabled.

3. Services and customer content

You retain ownership of code, data, domains, configuration, and other material you submit to the Services (“Customer Content”). You grant Toaray a limited, worldwide right to host, copy, transmit, modify, and process Customer Content only as needed to provide, secure, support, and improve the Services or comply with law.

You are responsible for your application, its users, the legality and accuracy of Customer Content, backups appropriate to your risk, and all notices or consents required for data you process. Toaray does not acquire ownership of Customer Content.

4. Acceptable use

You may not use the Services to violate law, another person's rights, or the security or availability of any system. Prohibited activity includes:

  • malware, credential theft, phishing, fraud, spam, or deceptive traffic;
  • unauthorized scanning, access, interception, or security testing;
  • child sexual abuse material, unlawful exploitation, or credible threats of violence;
  • infringement of intellectual property, privacy, publicity, or contractual rights;
  • circumventing usage limits, access controls, rate limits, or billing mechanisms;
  • activities that materially degrade the Services or impose unreasonable resource demands.

Authorized security research requires written scope from Toaray before testing begins. We may remove content, restrict traffic, or suspend resources when reasonably necessary to stop abuse or protect the platform.

5. Domains and third-party services

Domain registrations, transfers, and renewals are also governed by the applicable registry, registrar, ICANN, and reseller rules presented during checkout. Toaray may act as a reseller rather than the registrar of record. You must provide complete registrant information and keep it accurate.

Registration is not guaranteed until the registry confirms completion. Domain orders submitted to a registry are final and normally non-refundable. You are responsible for renewal settings, transfer approvals, eligibility requirements, and responding to verification notices. Third-party integrations remain subject to their own terms, and Toaray is not responsible for a third party's independent acts or service interruption.

6. Billing, taxes, and refunds

Prices, currency, billing cadence, and any usage units are shown before purchase or activation. Fixed services are charged in advance; metered usage may be charged in arrears. You authorize Toaray and its payment processors to charge the payment method on file for amounts due, including renewals and applicable taxes.

  • Usage records maintained by Toaray determine metered charges unless you show a material error.
  • Fees are non-refundable once a service period begins or a third-party order is submitted, except where law requires otherwise.
  • You must dispute a billing error through [email protected] within 30 days of the charge.
  • Unpaid services may be restricted or suspended after notice. You remain responsible for accrued charges.

7. Ownership and feedback

Toaray and its licensors own the Services, software, documentation, trademarks, and platform designs, excluding Customer Content. These Terms give you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not resell, reverse engineer, copy, or create derivative works from the Services except where law expressly permits it.

If you provide feedback, you grant Toaray a perpetual, worldwide, royalty-free right to use it without restriction or compensation.

8. Suspension and termination

You may stop using the Services and close your account from available account controls or by contacting support. Before closure, export Customer Content and transfer any domains you want to retain.

We may suspend or terminate access for a material breach, unlawful or abusive activity, security risk, non-payment, or when required by law. When practical, we will give notice and an opportunity to cure. Immediate action may be taken where delay could cause harm. After closure, ordinary account and service data is scheduled for deletion within 30 days, subject to backups, active domain obligations, payment disputes, legal holds, and mandatory record retention.

9. Warranties and service availability

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Toaray disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Preview, beta, and development features may change or be withdrawn and are not intended for critical production workloads.

No service-level commitment applies unless it is stated in a separate written order or agreement signed by Toaray.

10. Liability and indemnity

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data. Toaray's total liability arising from the Services will not exceed the greater of USD $100 or the amount you paid Toaray for the affected Services during the 12 months before the event giving rise to the claim.

These limits do not apply where liability cannot legally be limited. You will defend and indemnify Toaray against third-party claims arising from Customer Content, your application, your breach of these Terms, or your violation of law or another person's rights.

11. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and allow 30 days for an informal resolution. If the dispute is not resolved, the courts located in Lagos State, Nigeria have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any court with authority to grant it.

12. Changes and contact

We may update these Terms to reflect product, legal, or security changes. For a material change, we will provide at least 30 days' notice by email or through the Services unless an urgent legal or security change requires a shorter period. Continued use after the effective date constitutes acceptance.

Notices to Toaray must be sent to [email protected]. Operational support requests should be sent to [email protected].
